These Terms of Service (“Terms”) govern your access to and use of the website provisioncare.ai and the elder care assessment tools and reports available through it (collectively, the “Service”), operated by Provision Care LLC (“Provision,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Provision provides an online elder care assessment tool that uses automated processing to generate a personalized care stage report, action plan, and curated resources based on information you provide about your parent or loved one. Your assessment responses are analyzed using algorithms mapped against established elder care frameworks to produce your report.
The Service is for informational and educational purposes only. Provision does not provide medical, legal, financial, or professional advice of any kind. See our Medical Disclaimer for additional terms.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to agree to these Terms.
3. Use of the Service
You agree to:
- Provide accurate and complete information when using the assessment tool
- Use the Service only for lawful purposes and in accordance with these Terms
- Not attempt to interfere with, compromise, or disrupt the Service or its underlying systems
- Not use the Service to collect information about other users
- Not reproduce, distribute, modify, or create derivative works of any content provided through the Service without our prior written consent
4. User Representations Regarding Third-Party Information
The Service requires you to provide information about your parent or loved one. By submitting this information, you represent and warrant that: (a) the information you provide is accurate and complete to the best of your knowledge; (b) you have the authority to provide this information; and (c) your submission of this information does not violate any legal obligation you owe to the individual whose information you provide or any applicable law.
5. No Professional Advice
The Service provides general information about elder care planning, care stages, and related topics. The reports, action plans, and resources generated by the Service are produced through automated analysis and are for informational purposes only. They do not constitute medical advice, legal advice, financial advice, or any other form of professional advice.
You should consult qualified healthcare providers, attorneys, financial advisors, and other professionals before making decisions about your parent’s or loved one’s care. Provision does not recommend or endorse any specific providers, treatments, facilities, or courses of action.
6. Intellectual Property
All content, features, functionality, text, graphics, logos, and other materials available through the Service are owned by Provision or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.
Your assessment responses and the information you provide remain yours. By submitting information through the Service, you grant Provision a non-exclusive, royalty-free license to use that information to generate your report and to improve the Service in anonymized or aggregated form.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PROVISION DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, PROVISION DOES NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; THE CARE STAGE ASSESSMENT, ACTION PLANS, OR RESOURCES PROVIDED WILL BE APPROPRIATE FOR YOUR SPECIFIC SITUATION; OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
THE CARE STAGE FRAMEWORKS USED BY THE SERVICE ARE DRAWN FROM PUBLISHED ELDER CARE GUIDES AND RESOURCES. INDIVIDUAL CIRCUMSTANCES VARY WIDELY, AND THE SERVICE CANNOT ACCOUNT FOR ALL FACTORS RELEVANT TO YOUR PARENT’S OR LOVED ONE’S SITUATION. REPORTS ARE GENERATED THROUGH AUTOMATED PROCESSING AND HAVE NOT BEEN REVIEWED BY A HEALTHCARE PROFESSIONAL, ATTORNEY, OR FINANCIAL ADVISOR.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROVISION, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF PROVISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROVISION’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Provision, its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any information you provide through the Service, including Assessment Data about your parent or loved one; or (e) any decisions or actions you take based on information provided through the Service.
10. Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PROVISION AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND PROVISION AGREE OTHERWISE, NO COURT MAY CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
11. Third-Party Links and Resources
The Service may contain links to third-party websites, resources, or services. These links are provided for your convenience only. Provision does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party sites is at your own risk.
12. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last Updated” date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
13. Termination
We may terminate or suspend your access to the Service at any time, for any reason, without notice. Upon termination, Sections 4 through 10, 12, 14, and 15 of these Terms will survive.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction and venue of those courts.
15. General
- Entire Agreement: These Terms, together with the Privacy Policy and Medical Disclaimer, constitute the entire agreement between you and Provision regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
